1. Introduction
Welcome to Pentasynth. These Terms and Conditions ("Terms") govern your access to and use of the website, software, SaaS products, and IT services provided by CHINTAMANIKRUPA SOLUTIONS PRIVATE LIMITED, operating under the brand name Pentasynth ("Company," "we," "us," or "our").

3. User Accounts

- Reverse engineer, decompile, or disassemble any part of our software
- Use our services to engage in fraudulent, deceptive, or harmful activities
- Resell, sublicense, or redistribute our services without written authorization
- Use automated tools to scrape, collect, or extract data from our services

5. Intellectual Property Rights

- Custom work products developed specifically for a client shall be assigned to the client upon full payment
- Pre-existing materials, tools, and methodologies used in providing services remain our property
- We retain the right to use general knowledge, skills, and experience gained during engagements
- We may use non-confidential project information for marketing purposes (e.g., case studies) with client consent
5.3 Third-Party Software
Our services may incorporate third-party software or open-source components. Such components are subject to their respective licenses, and you agree to comply with those license terms.
6. Payment Terms
6.1 Fees and Pricing
Fees for our services shall be as specified in the applicable Service Agreement, proposal, or on our website for SaaS products. All prices are in Indian Rupees (INR) unless otherwise stated.
6.2 Payment Methods
We accept payments through various methods including bank transfers, credit/debit cards, UPI, and other electronic payment methods. Payment processing is handled by secure third-party payment gateways.
6.3 Taxes
All fees are exclusive of applicable taxes, including GST. You are responsible for paying any applicable taxes, duties, or levies imposed by government authorities.
6.4 Late Payments
Unless otherwise stated in a Service Agreement, invoices are due within 15 days of receipt. Late payments may attract interest at 1.5% per month on the outstanding amount. We reserve the right to suspend services for accounts with overdue payments.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary, confidential, or trade secret information disclosed during the course of an engagement. This includes:
- Business plans, strategies, and financial information
- Technical specifications, source code, and algorithms
- Customer data and user information
- Any information marked as "Confidential" or reasonably understood to be confidential
This confidentiality obligation survives the termination of any service agreement and remains in effect for a period of three (3) years from the date of disclosure.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total liability for any claims arising from our services shall not exceed the fees paid by you for the specific services giving rise to the claim in the twelve (12) months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
- We are not liable for any damages resulting from:
- Your failure to maintain adequate security or backups
- Third-party services or integrations
- Force majeure events beyond our reasonable control
- Your violation of these Terms or applicable laws
9. Disclaimers and Warranties
9.1 Service Warranty
We warrant that our services shall be performed in a professional and workmanlike manner consistent with industry standards. We do not warrant that:
- Our services will be uninterrupted, error-free, or free of harmful components
- Our services will meet all of your specific requirements or expectations
- Any errors or defects will be corrected within a specific timeframe
9.2 General Disclaimer
Except as expressly stated in these Terms, our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
10. Indemnification
You agree to indemnify, defend, and hold harmless CHINTAMANIKRUPA SOLUTIONS PRIVATE LIMITED, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to:
- Your use of our services
- Your violation of these Terms
- Your violation of any applicable laws or third-party rights
- Any content or data you submit or transmit through our services
11. Termination and Suspension
11.1 Termination by You
You may terminate your use of our services at any time by closing your account and discontinuing use. For subscription services, please refer to the cancellation procedures in our Refund and Cancellation Policy.
11.2 Termination by Us
We may suspend or terminate your access to our services immediately, without prior notice, if we believe:
- You have violated these Terms
- Your account is involved in fraudulent or illegal activities
- Your continued use poses a security risk
- Required by law or legal process
11.3 Effect of Termination
Upon termination, your right to use our services ceases immediately. Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law shall survive termination.
12. Force Majeure
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, government actions, epidemics or pandemics, power failures, internet or telecommunications failures, or any other similar events.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Nanded, Maharashtra, India.
Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiations and, if necessary, mediation.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated "Last Updated" date. We may notify you of significant changes via email or prominent notice on our website. Your continued use of our services after any modifications constitutes acceptance of the updated Terms.
15. General Provisions
15.1 Entire Agreement
These Terms, together with any applicable Service Agreements, constitute the entire agreement between you and the Company regarding the use of our services.
15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.
